Clasp Formation

Go out on your own without becoming an administrator.

The only fully-managed way to form a law firm and manage it's back office. We file the entity, get the EIN, and open your IOLTA and operating accounts.

Why firms love us

Everything between deciding and opening

Clasp is the only practice management system built in the last decade. Here's what that actually gets you.

Entity formation

PLLC, PC or LLP filed in your state, with the professional-entity requirements your bar imposes handled correctly the first time.

Entity formation

PC or LLP filed in your state, with the professional-entity requirements your bar imposes handled correctly the first time.

EIN and registered agent

Federal tax ID, registered agent appointment and your first year of service, plus the operating agreement your bank will ask for.

IOLTA and operating accounts

Both accounts opened with a bank that understands trust rules, and registered with your state’s IOLTA program.

Compliance setup

Trade name registration, state and local licences, and the annual report calendar so nothing lapses in year two.

The timeline

Four steps, about thirty days

You make decisions. We do the filing, the waiting and the follow-up.

DAYS 1–3

The call

Practice area, state, entity type, name availability and who’s coming with you. Forty-five minutes, one time.

DAYS 3–15

Filing

Entity filed, EIN issued, registered agent appointed, operating agreement drafted. You approve; we submit.

DAYS 15–25

Banking

IOLTA and operating accounts opened, IOLTA registered with the state, cards issued, ledger connected to Clasp.

DAYS 25–30

Open

Domain, email, intake form and fee agreement live. Your first client can sign and pay the day you say go.

What's inside

The process

Step 1

Form your law firm

Professional-entity rules differ in every state, and getting the structure wrong is expensive to unwind. We pick the permitted structure with you, clear the name, and file it.

Choose the permitted structure: PLLC, PC, LLP, LLC or solo practice

Check naming and ownership requirements, then coordinate the filing

Obtain your EIN, registered agent and core governing documents

Step 2

Set up your bank accounts

Most new firms lose weeks at a branch explaining what a trust account is, then spend the next year unsure whether their reconciliation would survive an audit. We open both accounts with a bank that already knows the rules and wire the ledger into Clasp — so from your first retainer, trust accounting is a screen, not a spreadsheet.

Same day approval for operating and IOLTA or client-trust accounts

Configure owners, signers, permissions, firm cards and payment processing

Obtained through our preferred partner - Citizens Private Bank

Step 3

Launch your firm's website

A site that looks like a real firm, wired to your intake from the first visitor — not a template you have to finish yourself on a Sunday.

We build your custom site with your direction

Core pages, your domain, contact forms and Clasp intake connected

Review the finished website together and publish when you're ready

Step 4

Open your doors on Clasp

Before you take a single client call, we run the whole first-client journey end to end — so day one is a normal working day, not a launch.

Intake, conflicts, engagement letters, rates, retainers and matter workflows.

Microsoft 365, email and calendars connected

Test the first-client journey from inquiry to signed, funded, open matter

“I'd been talking about going solo for two years because the setup looked like a second job. Clasp did the filings and the bank, and I took my first client six weeks after the first call.”
